These Terms of Service ("Terms") govern your use of vidwhale.com and the VidWhale application (the "Service"), operated from Dubai, United Arab Emirates ("VidWhale", "we", "us"). By accessing or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
VidWhale provides pre-publish content intelligence for video creators: analysis and scoring of video scripts, suggestions for hooks, titles, thumbnails and pacing, competitor benchmarking, and related creator tools. The Service is currently offered in an early-access phase and its features may change, be suspended, or be discontinued as it develops.
Your use of the Service is subject to our Acceptable Use Policy. In particular, the Service may not be used to generate sexually explicit, NSFW, or sexually suggestive content; content involving minors; deepfakes or non-consensual imagery of real people; or content promoting violence, hatred, or illegal activity. Prompts for AI generation are automatically screened and violating requests are blocked. We may suspend or terminate accounts for violations.
VidWhale's scores, predictions, and suggestions are analytical opinions generated with the help of artificial intelligence. They are provided to inform your creative decisions — they are not promises about how any video will actually perform. Audience behavior, platform algorithms, timing, and many factors outside our analysis determine real outcomes. You are solely responsible for your content and publishing decisions, and we make no warranty that following our suggestions will produce any particular result.
You retain all ownership of the scripts, ideas, and other material you submit to the Service, and of the outputs you create with it. You grant us only the limited, transient license necessary to process your material for the purpose of providing the Service to you — as described in the Privacy Policy, we do not store your script text on our systems. You are responsible for ensuring you have the rights to any material you submit.
You agree not to: use the Service for unlawful purposes; attempt to probe, disrupt, overload, or gain unauthorized access to the Service or its infrastructure; scrape or bulk-extract the Service; misrepresent outputs as human-professional certification; use the Service to create content that is illegal, or that harasses or defames others; or resell the Service without our written consent. We may suspend access that violates these Terms or threatens the integrity of the Service.
Certain features let you connect third-party providers (such as ElevenLabs, OpenAI, Azure, or PlayHT) using your own API keys. Your relationship with those providers — including their terms, quotas, and charges — is entirely your own. Keys are stored only in your browser and requests are passed through without being retained by us. We are not responsible for third-party services' availability, output, or billing.
Features that connect to YouTube use the YouTube API Services. By using them you also agree to the YouTube Terms of Service and acknowledge the Google Privacy Policy. You can revoke VidWhale's access at any time via your Google security settings.
The Service — including the VidWhale name, logo, design, and software — is owned by us and protected by applicable intellectual-property laws. These Terms grant you a personal, non-exclusive, non-transferable right to use the Service; they transfer no ownership in it to you.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. AI-generated analysis can be wrong, incomplete, or unsuitable for your situation. We do not warrant uninterrupted or error-free operation.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIDWHALE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES — INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR CHANNEL PERFORMANCE — ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM (OR USD 50 IF YOU HAVE PAID NOTHING). Nothing in these Terms excludes liability that cannot be excluded under applicable law.
You agree to indemnify and hold VidWhale harmless from claims arising out of your content, your violation of these Terms, or your infringement of any third party's rights in connection with your use of the Service.
You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms or where required to protect the Service or comply with law. Sections that by their nature should survive (including 4, 5, 9–12, and 14) survive termination.
These Terms are governed by the laws of the United Arab Emirates, and disputes are subject to the exclusive jurisdiction of the courts of Dubai, UAE, without prejudice to mandatory consumer protections you may enjoy in your country of residence.
We may update these Terms as the Service evolves. The current version will always be posted here with its effective date; material changes will be notified within the Service. Continued use after changes take effect constitutes acceptance.
